Welcome to HeroUI Pro, provided by NextUI Inc. ("HeroUI", "we", "us", or "our"). These Terms & Conditions govern your use of the HeroUI Pro website (heroui.pro) and the purchase and use of HeroUI Pro products ("Services"). By accessing or using our Services, you agree to be bound by these Terms & Conditions and our Privacy Policy.
1. Acceptance of Terms
By using HeroUI Pro, you agree to these Terms & Conditions. If you do not agree, do not use our Services.
2. Definitions
- "Individual License" means a perpetual, non-exclusive license granted to a single person (the License Holder) to use the purchased HeroUI Pro components and templates.
- "Team License"means a perpetual, non-exclusive, per-seat license that permits multiple employees or contractors of the License Holder's organization to use the purchased HeroUI Pro components and templates. A minimum of two (2) seats is required.
- "Enterprise License"means a custom license agreement negotiated between NextUI Inc. and the License Holder, with terms specific to the organization's needs.
- "Renewal"means an optional annual subscription that extends the License Holder's access to new updates, components, and features for an additional year from the date of renewal.
- "Updates Window" means the one-year period following purchase (or the most recent renewal) during which the License Holder is entitled to receive new updates, components, and features.
- "Perpetual" means the License Holder retains access to all components and templates available at the time of purchase (or the end of the most recent Updates Window) indefinitely, even without renewal.
3. License Agreements
- Individual License: Grants one individual (License Holder) continuous, perpetual, non-exclusive access to use HeroUI Pro components and templates included in the purchased plan (Web Hero, Mobile Hero, or Super Hero).
- Team License: Permits the number of employees or contractors corresponding to the purchased seats to use HeroUI Pro components and templates included in the purchased plan (Web Heroes, Mobile Heroes, or Super Heroes). Each seat corresponds to one person. A minimum of two (2) seats is required.
- Enterprise License: Subject to a separate, custom agreement between NextUI Inc. and the License Holder. Enterprise licenses may include additional features such as SSO authentication, SLA guarantees, audit logs, custom integrations, and dedicated support.
All licenses are perpetual. You may continue to use the version of HeroUI Pro available at the end of your Updates Window indefinitely, regardless of whether you renew.
4. Renewal and Updates
- After the initial one-year Updates Window, you may optionally renew your license at a reduced annual rate to continue receiving updates, new components, and new features.
- If you choose not to renew, you retain perpetual access to all components and templates available at the end of your Updates Window. You will not receive new updates.
- Auto-renewal can be enabled or canceled at any time from your account dashboard. Cancellation takes effect at the end of the current billing period.
- No refunds are provided for partial renewal periods after the cancellation effective date.
5. User Responsibilities
- You agree to provide accurate and complete information when registering or purchasing our Services.
- You are responsible for maintaining the confidentiality of your account and password.
- You agree to use our Services legally and ethically.
- For Team Licenses, you are responsible for ensuring that only authorized seat holders access HeroUI Pro resources.
6. Payment Policy
- All purchases are processed via Stripe, and you must agree to Stripe's terms and conditions.
- Prices are listed in United States Dollars (USD).
- Applicable taxes may be added at checkout based on your jurisdiction.
7. Refund Policy
We are committed to customer satisfaction and offer a 7-day refund policy from the date of purchase. However, we also protect against potential misuse of our refund policy:
- Refunds are granted only if the purchased components have not been extensively downloaded, copied, or used, indicating genuine dissatisfaction or a change of circumstances.
- Downloading Figma files and subsequently requesting a refund is considered a sign of non-genuine dissatisfaction and may result in refund denial.
- We reserve the right to deny refund requests if there is evidence of significant use, copying of our components, or downloading of design assets, suggesting that the customer has benefited from our Services.
- To request a refund, contact our support team at support@heroui.pro within the refund period, providing purchase details and a valid reason.
- All refund requests are reviewed on a case-by-case basis, and we reserve the right to make the final decision on refund eligibility.
- Approved refunds will be processed within 5–7 business days to the original payment method.
Note: For customers in the United Kingdom, the refund policy is extended to 14 days from the date of purchase, in accordance with local consumer protection laws. For customers in the European Union, you may exercise your right of withdrawal within 14 days; however, by accessing or downloading digital content you expressly consent to immediate performance and acknowledge the loss of withdrawal rights.
8. Intellectual Property Rights
All intellectual property rights in the components, templates, design assets, and related materials are owned by NextUI Inc. You are granted a license to use these materials in accordance with your purchased plan. You may integrate HeroUI Pro components and templates into your own software projects. All resulting applications, including their design, logic, and functionality, are your exclusive property.
The underlying HeroUI Pro code and related assets remain the intellectual property of NextUI Inc. Using HeroUI Pro in a project does not transfer ownership of the source code or grant any right to extract, resell, or distribute it outside the licensed project.
9. Restrictions
You may not:
- Share, publish, redistribute, or sub-license HeroUI Pro components, templates, or any part of their source code.
- Use HeroUI Pro, in whole or in part, to create or distribute a tool, library, or service that competes with HeroUI Pro or any related NextUI Inc. products.
- Reverse-engineer, decompile, or modify HeroUI Pro components for redistribution.
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from us.
10. Privacy Policy
Our collection, use, and sharing of your personal information are described in our Privacy Policy.
11. Modification of Terms
NextUI Inc. reserves the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting. If we make material changes, we will notify you by email or by posting a notice on our website prior to the changes taking effect. Your continued use of the Services after any changes constitutes acceptance of the new terms.
12. External Website Links
Our Services may contain links to external websites, including Stripe. We are not responsible for the content or privacy practices of these external sites.
13. Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXTUI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless NextUI Inc. and its affiliates, officers, agents, and employees from any claim or demand made by any third party due to or arising out of your use of our Services, your violation of these Terms & Conditions, or your violation of any rights of another.
15. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.
16. Fair Use and Fraud Prevention
To ensure a fair environment, we monitor for abuse or fraud, such as downloading content excessively then requesting refunds, or sharing license keys with unauthorized users. Violations may lead to actions including account termination, license revocation, or refund denial. If you believe you have been wrongly accused, contact us at support@heroui.pro.
